Introduction
Welcome to LPA Accountancy Ltd. These Terms and Conditions govern the provision of all services offered by LPA Accountancy Ltd, including but not limited to accountancy, compliance, consultancy, tax, payroll, and company-related services. By engaging our services or submitting a request, you agree to be bound by these terms in their entirety.1. Scope of Services
- Accountancy, bookkeeping, and financial management services.
- Tax-related services, including VAT, PAYE, Corporation Tax, and Self-Assessment.
- Comprehensive Self-Assessment services, including registration, UTR applications, cessation, preparation, and filings. LPA Accountancy also offers tailored support for personal tax returns, directors’ self-assessments, and all types of assessments, such as those for CIS contractors, property income, and other individual tax matters. Our full range of individual tax services ensures compliance and accurate filings for all clients.
- Payroll management, including employee setup, PAYE cessation, and related filings.
- Business registrations, deregistrations, and changes with HMRC and Companies House.
- Filing statutory documents such as annual returns, declarations, and director updates.
- Compliance services, including AML checks, declarations of compliance, and KYC verifications.
- Consultancy and advisory services for businesses and individuals.
- Support with UTR applications and other registration processes.
- Assistance with VAT registration cancellations and adjustments.
- Company formation, registered address services, director services, and a full range of other company-related services provided by LPA Accountancy.
- All services provided by LPA Accountancy for individuals and companies, including those not explicitly listed here.
2. Client Responsibilities
- Provide accurate, complete, and timely information as requested.
- Ensure that all required consents and authorizations (e.g., from directors or employees) are obtained prior to submission of data.
- Review and approve all documents and filings prepared by LPA Accountancy Ltd.
- Maintain copies of their data for at least five years or as required by law.
- Inform LPA Accountancy Ltd of any changes to their financial or business circumstances that may affect the services provided.
3. Fees and Payments
- All fees will be communicated in advance and invoiced accordingly. Payment is due upon receipt of the invoice unless otherwise agreed.
- Additional charges may apply for services outside the agreed scope. Any such charges will be communicated and agreed upon in advance.
- Failure to pay within the agreed timeline may result in the suspension or termination of services.
4. Confidentiality and Data Protection
- LPA Accountancy Ltd is committed to safeguarding the confidentiality of all client information.
- LPA Accountancy Ltd may share your information with:
- Relevant authorities, such as HMRC or Companies House, as required for service delivery.
- Trusted software providers or third-party service providers to facilitate our services.
- Law enforcement or regulatory bodies when required by law.
- LPA Accountancy Ltd will never sell or misuse your data for marketing purposes without your explicit consent.
- By engaging our services, you consent to the collection, storage, and processing of your data as outlined in our Privacy Policy.
5. Limitations of Liability
- LPA Accountancy Ltd is not liable for:
- Errors or delays caused by inaccurate, incomplete, or misleading information provided by the client.
- Delays caused by external authorities or systems, including HMRC and Companies House.
- Financial or legal consequences resulting from the client’s failure to comply with their obligations.
- Liability is limited to the fees paid for the service in question.
6. Termination of Services
- LPA Accountancy Ltd reserves the right to terminate services immediately if:
- The client provides false, fraudulent, or misleading information.
- Payments are overdue or not made as agreed.
- The client breaches these Terms and Conditions.
- If LPA Accountancy Ltd terminates services for any reason, the client will have two weeks to request or collect their data. If no request is made within this timeframe, LPA Accountancy Ltd may permanently delete the data. Clients are reminded that it is their legal responsibility to retain financial and statutory records.
- The client may terminate services with written notice. Fees for services rendered up to the termination date must be paid in full.
7. Additional Service-Specific Terms
- Company Formation and Registration: Clients are responsible for ensuring the accuracy of information provided during registration.
- Payroll Management:
- LPA Accountancy Ltd does not mediate employment contracts.
- Clients must provide accurate employee data to avoid payroll discrepancies.
- Tax Filings:
- Clients must approve all returns and filings before submission.
- LPA Accountancy Ltd is not responsible for penalties due to late provision of information by the client.
- Deregistration and Cessation Services:
- Clients are responsible for retaining records of all deregistered entities or accounts.
- LPA Accountancy Ltd does not guarantee acceptance of deregistration requests.
- Consultancy and Advisory Services: Advice provided is based on the information shared by the client and current regulations. Clients must independently verify any actions taken based on consultancy advice.
- Compliance and Authorisation Services:
- Clients must provide accurate and complete data for compliance checks.
- Authorisations granted to LPA Accountancy Ltd for interaction with authorities do not transfer the client’s legal obligations.
8. Terms for Company Strike-Off Services
By completing and submitting the request form, along with providing an e-signature, the client acknowledges and agrees to the following terms:- Authority to Act: The client certifies that they are a director or an authorised representative of the limited company identified in the request form and have the necessary authority to initiate the strike-off process.
- Director Consent: The client confirms that all directors of the company have been informed and agree to proceed with the company closure, where applicable.
- Outstanding Obligations: The client confirms that all outstanding taxes owed to HMRC have been paid, and final filings with HMRC and Companies House have been completed. If these obligations remain unfulfilled, the client authorises LPA Accountancy Ltd to handle and resolve them on their behalf.
- Stakeholder Notification: The client acknowledges that it is their responsibility to notify all relevant stakeholders, including shareholders, creditors, employees, and other interested parties, about the company strike-off.
- Agent Authorisation: The client grants LPA Accountancy Ltd permission to act as their authorised agent in communications and dealings with relevant authorities. The client acknowledges that they retain full legal responsibility for any obligations associated with the company.
- Accuracy of Information: The client confirms that all information provided to LPA Accountancy Ltd is accurate and complete and accepts full liability for any inaccuracies or errors.
- Retention of Records: The client agrees to retain all company records for a minimum of five years following the completion of the strike-off process, as legally required.
- Fee Payment: The client agrees to promptly pay all fees invoiced by LPA Accountancy Ltd for the services provided.
- Compliance with Legal Requirements: The client acknowledges that failure to notify relevant stakeholders or comply with applicable regulations may result in fines or legal prosecution.
- Acknowledgment: The client authorises LPA Accountancy Ltd to proceed with the strike-off application on their behalf.
9. Amendments and Updates
- LPA Accountancy Ltd reserves the right to update these terms at any time. Updates will be communicated via email or posted on our website.
- Continued use of our services after updates indicates acceptance of the revised terms.
10. Acceptance of Terms
